Terms of Service — Clearway

1. Acceptance of Terms

By accessing or using Clearway ("the Service"), you agree to be bound by these Terms of Service ("Terms"). Clearway is a product of Nyx Works, LLC ("we", "us", or "our"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Clearway is a co-parenting coordination platform that provides scheduling, expense tracking, messaging, and memory sharing features. The Service is designed to help co-parents communicate and coordinate more effectively.

3. User Accounts

To use Clearway, you must create an account. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Providing accurate and complete information
Updating your information to keep it current

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the integrity or performance of the Service
Harass, abuse, or harm other users through the Service
Upload malicious content or attempt to compromise the security of the Service

5. Subscription and Payment

Clearway offers subscription-based access. By subscribing, you agree to pay all applicable fees. Subscriptions automatically renew unless cancelled. We reserve the right to change pricing with notice to subscribers.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Nyx Works, LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you create within the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Nyx Works, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

10. Not Legal Advice

Clearway is a coordination tool and does not provide legal advice. The Service should not be used as a substitute for legal counsel. For custody disputes or legal matters, consult a qualified attorney.

11. Termination

We may terminate or suspend your access to the Service at our discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Iowa, without regard to its conflict of law provisions.
